NodeiFi does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

 

Limitation of Liability

In no event shall NodeiFi, its officers, directors, employees, or agents be liable to you or any third party for any indirect, consequential, incidental, special, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or related to your use of the Services, even if NodeiFi has been advised of the possibility of such damages. Notwithstanding anything to the contrary in these Terms, NodeiFi's maximum liability to you for any and all claims arising out of or related to the Services shall not exceed the amount paid by you, if any, for the use of the Services during the 3-month period preceding the claim.

You agree to indemnify, defend, and hold harmless NodeiFi, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees), arising out of or related to your use of the Services, any content you submit or upload to the Services, or your violation of these Terms or any applicable law or regulation.

 

Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the British Virgin Islands, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the courts located in the British Virgin Islands, and you submit to the personal jurisdiction of such courts.

 

Termination

NodeiFi may terminate or suspend your access to the Services, in whole or in part, at any time and for any reason, without notice or liability. Upon termination, you shall immediately cease all use of the Services, and these Terms shall survive and remain in effect, except for any provisions that by their nature expire or are fully satisfied.

 

Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NodeiFi with respect to the Services, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
